Opening Statement

Within its publicised strategic role, Incubator.coop is an important piece of new infrastructure within this movement and as such, will be working to the values inherent in the international cooperative principles and to advance the interests of the movement.

Incubator coop therefore supports the cooperative ethos of the primacy of 'member benefit' over profit maximisation and reward to capital.

Incubator.coop acknowledges that building great cooperative businesses requires cooperation between all stakeholders involved in the project.

These considerations require incubator.coop members to be cautious and courteous in all their approaches and actions, respectful of both cooperative traditions and institutions and supportive of movement leading organisations.

Collectively, Incubator.coop will therefore not tolerate members who:

(i) work against any of the important considerations above, or

(ii) seek to use membership for the purposes of self-promotion or organisational advancement, or

(iii) seek through misplaced social activism or other interests to use self help cooperatives as instruments for which they are not designed, or

(iv) for the purposes of 'disruption' alone, seek to undermine collective cooperative traditions and/or the primacy of 'member benefit' objectives.

The following 'code of conduct' will provide powers to Incubator.coop to ensure compliance with the above

Principles

Incubator.coop abides by the 7 Co-op principles and will ask our members to do the same

  1. Voluntary and open membership

Co-operatives are voluntary organisations, open to all persons able to use their services and willing to accept the responsibilities of membership, without gender, social, racial, political or religious discrimination.

  1. Democratic member control

Co-operatives are democratic organisations controlled by their members, who actively participate in setting their policies and making decisions. Men and women serving as elected representatives are accountable to the membership. In primary co-operatives members have equal voting rights (one member, one vote) and co-operatives at other levels are also organised in a democratic manner.

  1. Member economic participation

Members contribute equitably to, and democratically control, the capital of their co-operative. At least part of that capital is usually the common property of the co-operative. Members usually receive limited compensation, if any, on capital subscribed as a condition of membership. Members allocate surpluses for any or all of the following purposes: developing the co-operative (possibly by setting up reserves, at least part of which would be indivisible), benefiting members in proportion to their transactions with the co-operative, and supporting other activities approved by the membership.

  1. Autonomy and independence

Co-operatives are autonomous, self-help organisations controlled by their members. If they enter into agreements with other organisations, including governments, or raise capital from external sources, they do so on terms that ensure democratic control by their members and maintain their co-operative autonomy.

  1. Education, training and information

Co-operatives provide education and training for their members, elected representatives, managers and employees so they can contribute effectively to the development of their cooperative. They inform the general public – particularly young people and opinion leaders – about the nature and benefits of co-operation.

  1. Co-operation among co-operatives

Co-operatives work together through local, regional, national and international structures to serve their members more effectively and to strengthen the co-operative movement.

  1. Concern for the community

Co-operatives work for the sustainable development of their communities through policies approved by their members.

Personal Behaviour

Incubator.coop has an obligation to conduct its business in accordance with all applicable rules, regulations and laws.

We are committed to helping all Members act in a way that preserves trust and respect. This Code is meant as a guide to using our Site appropriately and must be followed at all times. Breaches of this Code are handled according to our Violations Policy will result in disciplinary action, up to, and including, membership termination.

I (the Member) will...

  • I will act ethically, co-operatively and with integrity.
  • I will comply with all of incubator.coop's policies and rules, and applicable Laws and regulations.
  • I will respect the rights of all Members.
  • I will not abuse confidential information, or participate in any other illegal practice.
  • I will have regard for Members' interests, rights and safety.
  • I will not harass, bully or discriminate.
  • I will not falsify my own or any other identity and I will provide true and correct information.
  • I will not seek to communicate or receive payments off-site for work that arose on-site.
  • I will not agree to do work I am not capable of doing.

Content

I (the Member) am responsible for the content I post on incubator.coop and:

  • I will not post content that infringes upon any copyright or other intellectual property rights.
  • I will not post content that violates any law or regulation.
  • I will not post content that is defamatory.
  • I will not post content that is obscene or contains child pornography.
  • I will not post content that includes incomplete, false or inaccurate information about any person.
  • I will not post content that contains any viruses or programming routines intended to damage any system.
  • I will not post content that creates liability for incubator.coop or harms its business operations or reputation.

Confidentiality

  • I will respect confidentiality and privacy.
  • I will not disclose information or documents I have acquired, other than as required by law or where authorization is given by incubator.coop.

Fraud

  • I will not engage in fraud.
  • I will not create multiple accounts.
  • I will not use the Site to illegally transfer funds.
  • I will not use the Site to generate false feedback.

Communication

  • I will avoid exaggeration, derogatory remarks, and inappropriate references.
  • I will not engage in personal attacks, negative or other unfair criticism, and any unprofessional conduct.

Spam or Advertising

  • I will not spam or advertise my website or service unless otherwise allowed.
  • I will not obtain names from mailing lists, group emails, etc to send unsolicited emails ("Spam").

Violations and Membership Suspension

Members are expected to comply with all incubator.coop Rules, our Code of Conduct and any Terms of Service associated with native products found at incubator.coop.  Failure to do so can result in Membership Suspensions or Account Suspensions

Incubator.coop is a shared space

  • Account Suspensions lead to account interruptions, and consequences could include the inability to continue working on Projects and the loss of your hard-earned reputation.
  • Knowing and following your obligations when using incubator.coop is essential for you to thrive in the environment and earn reputation and status.
  • If you notice behaviour, don't hesitate to use the "Flag as inappropriate"  link on project posts or profiles. Together, we maintain a vibrant and safe marketplace.

Violations

Here are the most common violations (and how to avoid them):

  • Personal Behaviour: Don’t bad-mouth anyone, the Sector or support upon which Co-op Incubator relies
  • Being a “dick”: Don’t be that way
  • Content: Don’t break the laws regarding copyright, IP
  • Identity Uncertainty and Account Sharing: Be yourself! Provide your own accurate and verifiable information and use a clear photo of yourself. Don't allow anyone else to use your account
  • Failing to Perform on Your Contracts: When you accept a role with a Project, you promise to complete the work and to deliver high-quality work. In addition, you must accurately describe your business, your skills and qualifications, and the services you offer. Misrepresenting your abilities or failing to fulfill your contract responsibilities can result in low Member-to-Member satisfaction and payment disputes.
  • Break the law: Don’t Phish, Spam, engage in contracts for work (paid or unpaid) where you cause a breach of the Trade Practices Act
  • Multiple Logins or Wrong Account Type: Use the same login for all work on incubator.coop, whether you're selling your own services as a freelancer, managing a Project, or hiring others as a client.
  • Spam and Harassment: Treat everyone with respect and professional courtesy in all communications. Tailor your approach to the needs of each job and client. Don't send the same message repeatedly or excessively message anyone.
  • Feedback Abuse: Great feedback is earned, not forced. Don't pressure clients to give you good feedback, and don't withhold work until feedback is left. It's OK to let clients know that you strive to provide high-quality work and to earn a good rating, or to ask for feedback to be left.

Consequences

Violations of the this Code of Conduct will result in a hold being placed on your Membership and Website account for 90-days.  

Further, evidence provided in this 90-day period may then lead from Account hold and Membership suspension to either termination of membership or re-instated membership depending on incubator.coop Boards discretion.

Suspension of Membership

(1)    The board of the co-operative may suspend a member for not more than one year, who does any of the following:

(a)  contravenes any of these rules;

(b)  fails to discharge obligations to the co-operative, whether under these rules or a contract;

(c) acts detrimentally to the interests of the co-operative.

(2)    Suspension of a member is to be decided in line with the Rules of Co-op Incubator Limited, with suspension replacing expulsion throughout.

(3)    During the period of suspension, the member:

(a)    loses any rights (except the right to vote) arising as a result of membership; and

(b)   is not entitled to a refund, rebate, relief or credit for membership fees paid, or payable, to the co-operative; and

(c) remains liable for any fine that may be imposed.

Expulsion from Membership

During an Account Suspension and Membership Suspension the following procedures will be required in order to expel or re-instate a member

(1)    A member may be expelled from the co-operative by resolution of the board at a meeting to the effect that:

(a)     the member has seriously or repetitively failed to discharge the member’s obligations to the co-operative under these rules or, or a contract entered into with the co-operative; or

(b) the member has seriously or repetitively breached the Platform User Agreement (Code of Conduct or Violations or have their Account suspended); or

(c)   the member has acted in a way that has:

(i)     prevented or hindered the co-operative in carrying out its primary activity or one or more of its primary activities; or

(ii)    brought the co-operative into disrepute; or

(iii)   been contrary to one or more of the co-operative principles as described in the Rules of Co-op Incubator Limited and those of the Law.

  1. Electronic and/or written notice of the proposed board resolution must be given to the member at least 7 days before the date of the meeting at which the resolution is to be moved, and the member must be given a reasonable opportunity of being heard at the meeting.
  2. At the board meeting when the resolution for expulsion is proposed the following procedures apply:
  1. If the member fails to attend at the time and place mentioned, without reasonable excuse, the member’s alleged conduct must be considered and the board may decide on the evidence before it, despite the absence of the member;
  2. Once the alleged conduct is considered, the board may decide to expel the member concerned;
  3. A motion for the decision is not taken to be passed unless two-thirds of the directors present vote in favour of the motion.

 

  1. An expelled member must not be re-admitted as a member unless the re-admission is approved by special resolution of the co-operative Board.

(5)    A member re-admitted must not have restored to him or her any shares that were cancelled on his or her expulsion.
